Terms of Service

NexaEcom provides ecommerce automation, management, and consulting services for marketplace channels including Amazon, eBay, Etsy, TikTok Shop, Walmart, and Shopify. Specific deliverables, fees, and timelines are set out in a separate statement of work or engagement agreement.

You are responsible for maintaining the confidentiality of any account credentials and for all activity that occurs under your account. You agree to notify us immediately of any unauthorized access or use.

To deliver results, you agree to provide timely access to relevant accounts, data, approvals, and materials as reasonably requested. Delays caused by incomplete or inaccurate information may affect timelines and outcomes.

Fees for services are described in your engagement agreement. Payment terms, refund policies, and cancellation terms are governed by that agreement. Unless otherwise stated, fees are non-refundable once work has commenced.

NexaEcom retains ownership of its pre-existing tools, processes, methodologies, and materials. Work product specifically created and paid for by you is transferred to you upon full payment, subject to NexaEcom's retained rights in underlying frameworks and templates.

Both parties agree to keep confidential any proprietary or sensitive information disclosed during the engagement, except as required by law or with prior written consent.

Our services are provided on a professional-efforts basis. We do not guarantee specific revenue, profit, ranking, or sales outcomes. Marketplace policies, algorithms, and competition are outside our control and may affect results.

To the fullest extent permitted by law, NexaEcom's liability is limited to the amount paid by you for the services giving rise to the claim in the twelve months preceding the event. We are not liable for indirect, incidental, consequential, or punitive damages.

You agree to indemnify and hold harmless NexaEcom from claims arising out of your misuse of the services, violation of these terms, or infringement of third-party rights.

These Terms are governed by the laws of the State of Texas, United States, without regard to conflict-of-law principles. Any disputes will be resolved in the courts located in Houston, Texas.

We may update these Terms from time to time. The updated version will be posted on this page with a revised date. Continued use of the site or services after changes constitutes acceptance.
